Director of Corporate Governance and Group Compliance公司治理與集團合規主管

We are seeking a senior governance and compliance leader to oversee corporate governance operations and build a group-wide compliance framework. This role manages board and corporate approval processes at both the Cayman Islands parent company and its subsidiaries in Taiwan, France and Singapore. The position sits within legal team and works closely with senior management and business teams to ensure governance integrity and legal compliance across jurisdictions.

本職務作為法務團隊成員,負責整體公司治理與合規制度建構,管理開曼控股公司及各國子公司的董事會與決議流程,並與高管與業務團隊合作,推動跨國法遵與公司治理。

●Key Responsibilities | 核心職責

1.Manage board meeting/shareholder approval operations at group and subsidiary levels

統籌集團與子公司董事會/股東決議流程及相關紀錄文件作業

2.Ensure procedural compliance with company constitutive documents and statutory obligations確保公司章程與法定義務之遵循

Prepare for the company's potential initial public offering, ensuring the governance and compliance mechanisms meet the listing requirements while allowing the management team operational flexibility協助公司準備首次公開上市, 在符合上市標準的同時,確保管理團隊具有充足之決策彈性

3.Build and maintain a group-level compliance framework (e.g., Code of Conduct, Anti-Corruption, Global Information Security or Data Protection and Privacy Policies)

建立並維持集團合規制度(如行為準則、反貪腐、全球資訊安全政策或資訊保護與隱私政策)

4.Coordinate with subsidiaries for legal entity management: annual filings , registration updates or maintenance

辦理子公司法律主體運營管理(年度申報、登記變更與維護)

5.Collaborate on business law compliance and disclosure readiness along with Group's business development

隨集團業務發展協助業務面法規遵循與披露整備

6.Liaise with external legal, compliance and corporate service providers

協調外部法律、法遵與公司登記專業人士

●Qualifications | 任職資格

• 8+ years in governance, legal, compliance, or corporate/board secretary roles

• Bachelor or master in law or business; legal qualification preferred

• Experience managing board procedures and corporate approvals across multiple jurisdictions

• Fluent in English and Mandarin

• Strong documentation, coordination and stakeholder communication skills

• 法律、商學或相關領域學士/碩士學位,具律師資格尤佳

• 具跨國董事會與決議程序管理經驗

• 中英文流利

• 擅長文件處理、協調及利害關係人溝通
