職務說明|Role Overview

This role serves as Arizon's first internal resource for both legal support and corporate governance. The Legal & Corporate Governance Manager is responsible for coordinating board operations, ensuring regulatory compliance with Taiwan Stock Exchange (TWSE) rules, and providing basic in-house legal support to the business.

本職位為公司首位內部法務暨公司治理專責人,負責協助公司強化上市公司治理制度,同時提供日常業務所需之法務支援。需具備專業法律背景,熟悉臺灣證券交易法規,並符合台灣證交所第23條「公司治理主管」設立規範。

主要工作內容|Key Responsibilities

1. Corporate Governance & Board Operations

2. Serve as the company's designated Governance Officer in compliance with TWSE §23

3. Organize Board, Audit Committee, and Shareholders' Meetings: agendas, materials, minutes, resolutions
4. Support board members with training records, declarations of independence, and evaluations
5. Prepare corporate governance disclosures for the Annual Report and Market Observation Post System
6. Track TWSE governance evaluation indicators and support improvement measures
7. Act as liaison between Board, management, and external stakeholders

一、公司治理與董事會運作

• 擔任公司治理主管,確保符合證交所對公開發行公司之治理規範(依第23條規定)
• 籌辦董事會、審計委員會及股東會等會議:議程編排、資料準備、議事錄紀錄、會後追蹤
• 協助董事履行職責(如獨立性聲明、教育訓練時數統計、績效評估)
• 編製並審閱年報與公司治理相關揭露資料(含公開資訊觀測站)
• 追蹤公司治理評鑑指標,主導內部符合性強化措施

• 作為董事會、監察人與經營團隊間之治理聯繫窗口

• Legal Support & Regulatory Compliance

• Provide basic legal review of commercial contracts (NDAs, vendor/customer agreements, etc.)

• Advise on general legal matters (employment law, IP, labor issues, data privacy, etc.)
• Coordinate with external counsel as needed
• Develop and maintain contract templates and legal documentation
• Support departments with regulatory interpretation and business-friendly compliance advice

二、內部法務支援與法令遵循

• 提供商務契約初步審閱與風險建議(如保密協議、供應商/客戶合約等)
• 協助公司因應一般法務事務(如勞資、智慧財產、個資保護等)
• 協調與外部律師合作,針對重大爭議或特殊法律議題提供協助
• 建立並維護契約範本與法律文件,強化內部法遵意識與效率

• 支援各部門法規遵循需求,提供實務操作建議

• ESG Reporting & Sustainability Governance

• Lead coordination and preparation of the company's annual ESG/sustainability report, including content gathering across departments

• Ensure ESG disclosures meet regulatory expectations and align with frameworks such as GRI, TCFD, and TWSE sustainability guidelines
• Support the development of internal ESG policies, procedures, and disclosure structure
• Monitor ESG trends and regulatory updates; provide risk and governance recommendations to management

三、ESG報告編製與永續治理

• 擔任年度ESG報告及企業永續報告書之主責窗口,協調各部門資料彙整與內容編寫
• 確保ESG揭露內容符合主管機關、證交所及GRI、TCFD等標準與準則
• 協助永續相關政策、內部流程及揭露架構之建立與推動
• 追蹤永續議題趨勢及國內外法規變動,提供管理階層建議並強化風險控管

任職資格|Qualifications

Per TWSE Rule §23, candidate must meet one of the following:

• Licensed attorney or CPA in Taiwan OR
• At least 3 years in a managerial role in legal, compliance, internal audit, finance, accounting, shareholder services, or corporate governance in a public company or financial institution
• Note: Experience at a foreign public company with paid-in capital ≥ NT$50M may be considered if relevant

依證交所第23條,公司治理主管須符合下列資格之一:

• 具備台灣律師或會計師執業資格 或
• 曾於公開發行公司或金融相關機構從事法務、法遵、內稽、財務、會計、股務、或治理單位主管職務達三年以上
• 備註:若具資本額逾新台幣五千萬元之外國企業公開發行經驗者,得以符合資格

加分條件|Preferred Qualifications

• Familiarity with Taiwan Company Law, Securities Exchange Act, Personal Data Protection Act, Labor Standards Act
• Experience supporting board/AGM disclosures and regulatory filings
• Strong writing skills in Chinese; English proficiency preferred
• High integrity, independent thinking, and practical judgment
• Experience in listed manufacturing companies preferred
• ESG reporting or disclosure experience is a plus
• 熟悉公司法、證交法、個資法與勞基法等台灣主要商業法規
• 有董事會與股東會資訊揭露經驗
• 具備良好中文撰寫能力,英文溝通能力佳
• 為人正直、具獨立判斷與實務導向思維
• 曾任職上市製造業者尤佳
• 具備ESG揭露或報告製作經驗尤佳
